This agreement is governed by the Civil Code, et seq. of Act No. 89/2012 Coll., specifically Section 1751, and following sections. It outlines the rights and responsibilities between the seller and a buyer who is an individual consumer.

1. Introductory provisions

1.1. Summary of Terms and Conditions

  • Buying from us: When you buy goods from us, we will deliver them to you, and you will pay us.
  • Placing an order: To buy something, you need to place an order, and we need to accept it (see clause 2).
  • Prices: Information about prices is in clause 3.
  • Payment and delivery: Payment and delivery methods are explained in clauses 4 and 5.
  • Returns and refunds: Our return and refund policy, and your rights to cancel, are in clause 7.
  • Warranty: Warranty claims are covered by our Warranty Terms and Conditions.

1.2. Consumer Contracts

If you're buying goods for personal use and not for business purposes, this is a consumer contract. Consumer protection laws and these Terms and Conditions will apply to you.

1.3. Governing Law and Terms

The following documents govern our rights and responsibilities:

If anything isn't covered by these documents, Czech law will apply. Specifically, the Civil Code and, if you're a consumer, the Consumer Protection Act.

If you live outside the Czech Republic, or if our relationship involves different countries, Czech law will still apply.

1.4. Your Agreement to These Terms

By placing an order and confirming that you've read these Terms and Conditions, you agree to them.

1.5. Additional Information

  • Invalid Provisions: If any part of these Terms becomes invalid, the rest of the Terms will still apply. We'll replace the invalid part with something as similar as possible.
  • Changes to the Terms: We may update these Terms from time to time. The version of the Terms that applies to you is the one that was in effect when you placed your order. Any changes to the Terms must be in writing.

2. PURCHASE CONTRACT

2.1. Placing an Order

Once you place an order and we confirm it by email, at that moment, a purchase contract is concluded between the Buyer and the Seller. This means you agree to pay the price for the goods, and we agree to deliver them to you. You become the owner of the goods as soon as you receive them, and you're responsible for them from that point on.

Please note that the Goods presented on the Website are of an illustrative nature only and do not in, and of themselves represent an offer from us to enter into a purchase contract pursuant to Section 1732, par. 2 of The Civil Code. This is due to the fact that the items we sell, particularly gemstones, are natural materials. This means that each item is unique, and variations in size, shape, color, structure, and pattern are to be expected. Similarly, display items in our showroom may differ slightly from the actual products.

2.2. How to Place an Order

You can place an order through our website or by using another method we allow (call, showroom visit, etc.). Make sure your order includes all the information required in the order form.

Before you confirm your order, you'll see a summary with the final price (including taxes within the EU). This is your last chance to make changes.

Once you click "CONFIRM ORDER" button, your order is binding. We ask that you please advise us of any changes to such details via phone or email without delay.

2.3. Cancelling or Changing an Order

You can cancel or change an order before we accept it by contacting us via phone or email. Once we accept your order, it's binding. We may agree to cancel or change the order, but in this case the decision is taken by us. If you cancel an order after we've started processing it (more details in clause 7), you may have to pay us for costs we've already incurred.

2.4. Order Confirmation

We'll send you an email to confirm that we've received your order. This confirmation doesn't mean we've accepted your order.

A purchase contract is formed when we send you a separate confirmation email or when you receive the goods.

2.5. Printed Copy of the Contract

We'll send you the contract documents by email. If you need a printed copy, we may charge you for the cost of postage.

We keep electronic copies of the contract, which are not accessible to third parties.

3. PRICE

3.1. Price Changes

1. Prices of goods and services (including costs, e.g. packaging, postage) stated on the web interface are in Czech crowns (CZK), including the applicable VAT rate. The individual price offer is valid for 2 months from the date of its preparation.

2. The price you see on our website at the time of your order is generally the price you'll pay. While we strive for accuracy, errors may occur. We review prices during order confirmation. In the event that we made a completely obvious technical error when stating the price of the goods on the web interface or during the ordering process, we are not obliged to deliver the goods to you at this completely obvious incorrect price due to the appearance of our legal action pursuant to Section 552 of the Civil Code, or due to a mistake pursuant to Section 571 of the Civil Code.

3. When ordering goods the buyer can either pay the total value of the goods in a single payment in advance, or pay a deposit of 30% of the sales price in advance. In the event that the buyer makes a deposit of 30%, the remaining part of the purchase price of the goods in the amount of 70% can be paid either in cash upon personal collection of the goods, or in the case of sending the goods on delivery. The deposit paid is non-refundable.

4. For goods manufactured directly at the buyer's request (custom production) and/or in the case of engraving. Thie 30% deposit is non-refundable. The seller recommends that the buyer consult with him personally about custom production (especially design, colors, details, etc.), otherwise he is not liable to the buyer for damage (e.g. if the manufactured goods do not meet the buyer's expectations and wishes). No discount can be used for custom production, e.g. obtained through a discount coupon (voucher), discount code, discount from a promotion or competition, etc.

The Seller allows the Buyer to create a 3D model of the jewelry, which the Buyer can then have produced in the Custom Production mode.

The creation of a 3D model of the jewelry is charged a one-time non-refundable fee of CZK 3,000.

The Seller undertakes to deliver the created 3D model of the jewelry to the Buyer within 10 working days of payment of the relevant fee.

3.2. Discounts

Any discount, e.g. obtained through a discount coupon (voucher), discount code, discount from a promotional event or competition, cannot be exchanged for money, exchanged or otherwise replaced. You can't usually combine discounts unless we specifically communicate otherwise on our website.

4. PAYMENT

4.1. Payment

  • Cash: If you pick up your order at our Prague studio.
  • In cash on delivery at the place specified by the buyer in the order (only for goods up to 10,000 CZK);
  • Credit or Debit Card: Before your order is shipped or when you pick it up.
  • Bank Transfer: Before your order is shipped (we'll provide you with the bank details in your order confirmation).
  • PayPal: Before your order is shipped.

We may offer other payment methods, and any associated fees will be listed on our website.

The buyer can pay the price of the goods and any costs associated with the delivery of the goods according to the purchase contract to the seller in the following ways:

4.2. Payment Due Date

  • Cash: Pay when you pick up your order.
  • Electronic Payments: The purchase price is payable within 4 days of concluding the purchase contract, payment means crediting the purchase price to the seller's bank account; We consider the payment complete when we receive the funds. If we don't receive payment on time, we may cancel your order.

4.3. Deposits

We may ask for a full or partial payment upfront, especially for engagement rings and custom jewelry. For custom jewelry, we may require a 30% deposit.

4.4. Tax Invoices

In the case of personal collection of the goods, you will receive the tax document (invoice) personally together with the goods. The tax document (invoice) is also considered a warranty certificate.We're required to issue this invoice and report your payment to the tax authorities online, or within 48 hours if there's a technical issue.

4.5. Price Rounding

The price on our website is rounded to two decimal places. However, you'll see and pay the exact, unrounded amount at checkout.

5. PRODUCTION, DELIVERY AND IMPORT TAXES

5.1. Production Time: Most jewelry takes 21 business days to make. Custom orders may take longer. We'll let you know the exact time.

5.2. Stock Items: We always have one piece of jewelry in stock, in one size and one color of gold. If the ring size you have selected is significantly different from the stock item, a new item in the size you require will need to be made. If urgent production is required, the same general rules apply as for any urgent production.

5.3. Rush Orders: You can pay an extra fee to have your jewelry made faster. This fee varies based on the item and can range from 1,500 to 3,000 CZK.

5.4. Delivery: Once we deliver your order to you, we've fulfilled our part of the deal. If you refuse the delivery without a valid reason, it's still considered delivered.

5.5. Shipping Methods

You can choose a specific shipping method during the order process. Most common shipping methods are:

  • Czech Post - Parcel in Hand - Shipping is free in the Czech Republic and Slovakia.
  • Zásilkovny - Shipping is free in the Czech Republic and Slovakia.
  • DPD courier - Shipping is free in the Czech Republic and Slovakia.
  • DHL courier - The final price will always be stated in the order, which depends on the final destination. This method of delivery is intended for international shipments.

Your order confirmation will show the final price, including shipping costs. For orders outside the EU and UK, additional duties and taxes may apply.

Delivery of ordered goods is individual, the approximate production time is 7 - 21 working days from the conclusion of the purchase contract, unless the seller informs the buyer of a different time in the order acceptance.

Please ensure that the contact information you provide (address, name, phone number) is accurate. We pass this information to the shipping company, and we're not responsible for verifying its correctness.

In the event of a personal pickup at our showroom, the buyer authorizes the seller to verify their identity using a valid identification document.

5.6. Delivery Time

In-Stock Items: Usually shipped within 2 business days of order confirmation (for cash on delivery or in-store pickup) or payment (for electronic payments).

Out-of-Stock Items: Typically shipped within 2-3 weeks.

Custom Items: Delivery times for custom jewelry, especially engagement and wedding rings, may vary based on production capacity and workload. We'll let you know the estimated delivery time.

You own the goods once you've paid the full purchase price. If you refuse delivery without a valid reason, it doesn't mean we failed to deliver the goods or that you've canceled the contract.

5.7. Accepting the Goods

You are obliged to check the integrity of the packaging of the goods and the contents of the shipment (goods) when taking over from the carrier/delivery person, and in the event of any defects, immediately notify the carrier/delivery person. If the packaging is found to be damaged, indicating unauthorized entry into the shipment or damage to the shipment (goods), the buyer undertakes not to accept the shipment from the carrier/delivery agent.

All shipments are insured, so the carrier/delivery person is responsible for damage to the goods. Later complaints about mechanical damage to the goods caused during transport/delivery cannot be accepted.

Refusing a damaged package is not considered an unjustified refusal of the goods.

Once you receive the goods (or if you refuse to accept them without a valid reason), you're responsible for any damage, loss, or destruction.

5.8. Refusal to Accept Goods

If we need to redeliver the goods or deliver them in a different way due to your actions, you'll be responsible for the additional costs.

If you refuse delivery without a valid reason, we can charge you for delivery, storage, and other related costs.

For cash-on-delivery or in-store pickup orders, we may cancel the contract if you refuse delivery. However, if you have already paid the purchase price for the Goods (in the event of payment before delivery of the Goods), we are furthermore entitled to proceed with the sale of the Goods in our own right pursuant to Section 2126 of the Civil Code.

5.9. Undelivery of Goods

You will receive a notification when your goods have been dispatched (a “Dispatch Notification”). You must inform us as soon as possible, and in any event no later than within 72 hours of the Dispatch Notification if you have not received your goods within 48 hours of first receiving the Dispatch Notification. To inform us that your goods have not been delivered, please contact us

5.10. Import Taxes

UK Customers: Your order will be shipped from Czech Republic and we bear any costs associated with customs fees.

Rest of the World Customers: Your order will be shipped from the Czech Republic. Please note that customs fees and import duties may apply upon delivery to your specified destination. You are responsible for paying these charges. We cannot predict the amount of these charges. Please contact your local customs office for more information before placing your order

6. GIFT CARDS

6.1. Redeeming a Gift Card

To use a physical gift card, you may do so in-store by showing the physical card or its image(photo) that must have visible following information:

  • Value of the gift card
  • Instructions on how to redeem the card

6.2. Gift Card Restrictions

  • One-time use: A gift card can only be used once.
  • Transferability: Gift cards can be transferred to others. The person using the card has the same rights as the original purchaser.
  • Expiration: Gift cards have an expiration date. They cannot be used after this date.
  • No Cash Value: Gift cards cannot be exchanged for cash.

6.3. When We May Refuse a Gift Card We may refuse to accept a gift card if:

  • It's expired.
  • It's already been used.

7. EXCHANGE, RETURN AND REFUND POLICY

7.1. Exchange of goods, modification of goods

You bear the costs associated with exchanging the goods for the same goods of a different size, both the costs associated with returning the originally delivered goods and the costs associated with delivering the same goods of a different size. The exchange of goods can only be carried out provided that the buyer has paid the seller the estimated costs associated with the exchange of goods; the seller will inform the buyer of the estimated costs by e-mail. However, the seller may, at its discretion, decide in individual cases to bear the costs of the exchange of goods.

As part of our services, we offer one free resizing of gold and platinum rings, excluding situations where the resizing is no longer possible and may cause disruption of the structure of the jewelry. Resize does not include adjustments to the width or thickness of the ring. The customer will be informed of this in writing or by phone. We assess each request for resizing individually, so it is always necessary to contact us in advance.

Some restrictions may apply to rings with pave settings or other side stones on the band, engravings or complex designs. In the event that it is not possible to adjust the size of the ring, we must recycle the existing ring and make a new one. We assess possible fees and adjustments individually.

Our experts assess whether the modification is technically feasible or whether a new ring in the required size needs to be made. This decision is based on the evaluation of the specific model and several other factors.

7.2. Return Policy

As a consumer, you have the right to return the goods within 14 days of receiving them. If your order was shipped in multiple packages, the 14-day period starts from the day you receive the last package. This is in accordance with Section 1829, paragraph 1 of the Civil Code, the buyer has the right to withdraw from the purchase contract without giving a reason.

To return goods, please use our Returns Form and send it to us along with the goods. You can either mail the form and goods or email the form and then mail the goods.

Please note that any international certificate of stone authenticity or gift box included with your order must be returned with the jewelry. If you don't return these items, we may charge you a fee to replace them. This fee is typically at least CZK 500 for packaging and CZK 2,500 for a new certificate.

If a gift is provided to the buyer together with the goods, the gift contract between the seller and the buyer is concluded with a termination condition that if the buyer withdraws from the purchase contract, the gift contract will cease to be effective and the buyer is obliged to return the gift provided to the seller together with the goods

7.3. Effects of Returning Goods

Returning the goods cancels the purchase contract, as if it never existed.

7.4. How to Make a Return

To return your goods, please send them to our mailing address or our showroom within 14 days of notifying us of your intent to return. Please do not send returns via cash on delivery, as we are not obligated to accept them. We recommend using an international courier service and insuring the goods for their full value when returning jewelry to Mialis.

Please include the following with your return:

  • A copy of the shipping note and invoice (if applicable) or other proof of purchase
  • A written statement with your contact information and a request for a refund, including your preferred refund method (using our Returns Form is recommended)

While providing these documents is recommended, their absence won't prevent us from processing your refund according to legal requirements.

7.5. Receiving a Refund

We'll refund your payment within 14 days of you notifying us of your intent to return the goods. However, we won't initiate the refund until we receive the goods or proof of shipment.

We'll refund you using the same payment method you used to purchase the goods, unless you request a different method.

You're responsible for the cost of returning the goods, even if they can't be returned by standard postal services (e.g., jewelry). These costs are non-refundable.

7.6. Damaged Returns

Please package the goods carefully to prevent damage during shipping.. If the returned goods are damaged, scratched, or deteriorated, we may reduce your refund to account for the loss of value.

7.7. When Returns Are Not Possible

According to Section 1837 of the Civil Code, you cannot return goods and cancel the purchase contract in the following cases:

  • Customized Goods: Items that have been customized to your specific requirements, such as resized jewelry, engraved items, or non-standard ring sizes.
  • Gift Cards: Gift cards are considered a service, not a product. While you have a 14-day right to return them, this right is lost once you've used the card to purchase goods.

7.8. Our Right to Cancel

We may cancel the contract in the following situations:

  • You haven't paid the full purchase price on time.
  • You refuse to accept delivery of the goods.
  • We can't fulfill the order due to circumstances beyond our control (e.g., product discontinuation or supplier issues).

If we cancel the contract, we'll notify you immediately. If you've already paid, we'll refund you within 14 days (usually within 5 days) to the account you used to make the payment. Please note that your bank may take 2-3 days to process the refund.

7.9. We May Reject Claims:

We have the right to reject your claim if the damage is due to normal wear and tear or mechanical damage.

You acknowledge that the color of the item, including any gemstones, may vary slightly from the image on our website due to the natural materials used. This is not considered a defect.

Each hammered or modified ring is handmade, making each piece unique. The surface may vary slightly from the photo or showroom model. This is not a defect.

You are responsible for any damage or loss caused by mishandling the item.

8. WARRANTY

8. Warranty

Your rights regarding defective goods are protected by law (specifically Sections 1914-1925, 2099-2117, and 2158-2174 of the Civil Code).

8.1. Warranty Claim

In the unlikely event that goods are delivered faulty, damaged, or incorrect, Mialis will offer a replacement, repair, or refund. Furthermore, the United Kingdom Consumer Rights Act 2015 grants customers a 30-day period to return goods of unsatisfactory quality, unfit for purpose, or not as described for a full refund. This warranty is supplementary to your statutory rights. To initiate a warranty claim, please contact us.

If you discover a defect in your item within 30 day period of receiving it, you can make a warranty claim. Here's how:

  1. Download the claim form (Appendix No. 1) .
  2. Fill out the form with details like your order number, date of purchase, and a description of the defect.
  3. Choose how you'd like to receive a resolution: repair, replacement, discount, or return.
  4. Submit the form by mail, email (info@mialis.cz), or in person at our registered office.

8.2. What We Guarantee:

We guarantee that at the time of purchase, your item will:

  • Match the description and purpose we provided or typically associated with the product.
  • Be in the agreed-upon quantity and quality.
  • Meet any legal requirements.

8.3. Exceptions to Warranty:

Our warranty doesn't cover:

  • Items sold at a discounted price due to a known defect.
  • Wear and tear on used items.
  • Defects caused by the nature of the item or by you.

You Don't Have Warranty Rights If:

  • You knew about the defect before buying the item.
  • You caused the defect yourself.

Proof of Defect:

If the defect appears within 6 months of purchase, we presume it existed at the time of purchase.

Your Options for Defective Items:

If the defect significantly impacts the product, you have the right to:

  • Receive a replacement without defect (unless unreasonable for the defect type).
  • Receive a missing part.
  • Have a defective part replaced.
  • Have the item repaired.
  • Withdraw from the contract (for repeated defects or a large number of defects).
  • Receive a reasonable discount on the purchase price (if other options aren't possible).

Choosing Your Resolution and Timeframes:

  • Inform us of your chosen resolution when making your claim or soon after.
  • You can't change your choice without our consent.

8.4. Lifetime Warranty:

We offer a lifetime warranty against non-mechanical damage (material fatigue) for as long as you own the item. In such cases, we'll repair the item at no cost to you. This warranty doesn't cover damage due to:

  • Your use, neglect, or improper care.
  • Improper use of the item.
  • Normal wear and tear or aging.

9. ADDITIONAL INFORMATION FOR CONSUMERS

9.1. Business Authorizations We operate under a valid business license. No other licenses are required for our activities.

9.2. Complaints If you have a complaint, please contact us via email at [your contact email address]. You can also file a complaint with the relevant business license office or the Czech Trade Inspection Authority.

For issues related to hallmarks and precious metal testing under Act No. 539/1992 Coll., please contact the government Assay Office (www.puncovniurad.cz).

9.3. Consumer Dispute Resolution If you're a consumer and have a dispute with us that we can't resolve together, you can file a complaint with the Czech Trade Inspection Authority:

These options offer out-of-court dispute resolution. You have one year from the date you first raised the issue with us to file a complaint with these organizations.

You can also use the European Commission's online platform (https://ec.europa.eu/consumers/odr/main/?event=main.home2.show) to file a complaint about goods purchased from us and find alternative dispute resolution entities.

10. WEBSITE REGISTRATION

10.1. Account Creation You can create a user account by registering on our website. Please keep your login information confidential. We're not responsible for unauthorized use of your account.

By registering, you consent to the processing of your personal data. Please ensure that the information you provide is accurate and complete. We may terminate accounts created with false or incomplete information. If your information changes, please update your account promptly.

10.2. Purpose of the User Account Your user account allows you to order goods, track orders, and manage your account settings.

10.3. Account Termination We reserve the right to terminate your account without notice if you violate our Terms and Conditions or engage in unethical or illegal behavior.

10.4. Privacy Policy We take your privacy seriously. We will handle all personal data provided by you in accordance with Act No. 110/2019 Coll., on the processing of personal data, as amended (hereinafter referred to as the “Act on the Processing of Personal Data”) and in connection with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).

FINAL PROVISIONS

These general terms and conditions are governed by and interpreted in accordance with the legal system of the Czech Republic.

Any provisions of these terms and conditions declared unlawful, invalid or otherwise unenforceable due to the laws of the countries in which these general terms and conditions are to apply will not be taken into account. All other provisions of the general terms and conditions remain fully valid, binding and enforceable.

The contractual relations between the seller and the buyer in these terms and conditions, not otherwise specified, are governed by the applicable legal regulations of the Czech Republic, in particular the Civil Code and Act No. 634/1992 Coll., on Consumer Protection, as amended. If the legal relationship established by the purchase contract contains an international (foreign) element, then the parties agree that the relationship is governed by Czech law.

By sending the order, the buyer agrees to these terms and conditions in the wording that is stated on the web portal of the online stores on the day the order is sent.

The seller reserves the right to make changes to any provisions of its general terms and conditions at any time by publishing them on the web interface of the online stores. If the buyer or user of the web interface of the online stores does not agree with these terms and conditions, he must immediately stop using these websites or stop shopping at the seller's online stores.

Both parties undertake to resolve any disputes that arise between the seller and the buyer primarily by means of conciliation. If a dispute arises between the buyer as a consumer and the seller that cannot be resolved amicably, the buyer has the right to refer the dispute to the Czech Trade Inspection Authority (address: Czech Trade Inspection Authority, Central Inspectorate - ADR Department, Štěpánská 15, 120 00 Prague 2; www.coi.cz, www.adr.coi.cz; e-mail: adr@coi.cz; phone: +420 296 366 360). Any disputes between the seller and the buyer that cannot be resolved (or will not be resolved) amicably or through the Czech Trade Inspection Authority will be resolved exclusively before the relevant Czech courts.

The online store www.mialis.cz is registered with the Czech Assay Office. The list of hallmarks is listed in Appendix No. 2, which forms an integral part of these terms and conditions.
